\nEmployees, contractors, directors, officers, and agents of StockX LLC (\u201cSponsor\u201d), its parent,
\naffiliates, subsidiaries, distributors, sales representatives, and advertising, promotion and judging
\nagencies and all other service agencies involved with the Sweepstakes, and members of the
\nimmediate family (spouse, parent, child, sibling and their respective spouses, regardless of where
\nthe reside) and household of each such employee (whether or not related) are not eligible to enter
\nor win.<\/p>\n
This Sweepstakes is subject to all applicable federal, state, and local laws and regulations and is
\nvoid where prohibited. Participation constitutes entrant\u2019s full and unconditional agreement to
\nthese Official Rules and Sponsor\u2019s decisions, which are final and binding in all matters related to
\nthe Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein.<\/p>\n

3. Sweepstakes Period: The Sweepstakes begins on Tuesday, February 13, 2018 at 7:00 am
\nPacific Time (\u201cPT\u201d) and ends on Thursday, February 15, 2018 at 11:59 pm PT (the
\n\u201cSweepstakes Period\u201d). The Sweepstakes Period consists of an Entry Period and a Fulfillment
\nPeriod as follows \u2013<\/p>\n
\u2022 the Sweepstakes\u2019 \u201cEntry Period\u201d shall start on Tuesday, February 13, 20
\nAll entries must be submitted during the Entry Period and, if applicable for a given method of
\nentry, fulfilled during the Fulfillment Period to be valid.<\/p>\n
4. How to Enter: There are two ways to enter the Sweepstakes as set forth below.<\/p>\n
\u2022 To enter by making a bid and purchasing the product: During the Entry Period, go to
\nStockX mobile app, log in to your account (or create one for free) and place a valid bid of
\n$15 as a buyer for the item located at https:\/\/stockx.com\/the-stockx-all-star-lineup. To be
\neligible to win one of the prizes (as described below) of the Sweepstakes via this
\nmethod, you must place a bid of $15 during the Entry Period and, if chosen as a
\nwinner, successfully complete the purchase by transferring the necessary funds to
\nthe Sponsor by the end time\/date of the Fulfillment Period. For the avoidance of
\ndoubt, bids placed after the Entry Period end time\/date (even if placed and completed
\nduring the Fulfillment Period) will not be eligible for entry into the Sweepstakes.<\/p>\n
\u2022 To enter without making a bid or placing an ask: To enter the Sweepstakes without
\nplacing a bid, hand-print your full name, date of birth, mailing address and email address

\n1046 Woodward Ave., Detroit, MI 48226 to receive one (1) entry into the Sweepstakes.
\nRequests must be postmarked during the Entry Period and received by the last day of the
\nEntry Period to be eligible. Each mail-in entry must be in a separate postmarked outer
\nenvelope. No facsimiles or mechanical reproductions of entries allowed. Sponsor is not
\nresponsible for lost, late, illegible, misdirected, mutilated, incomplete, or postage-due
\nmail\/entries. Submissions become property of Sponsor and will not be returned. Sponsor
\nis not responsible for lost, late, illegible, misdirected, mutilated, incomplete, or postagedue
\nmail\/entries.<\/p>\n
Individuals who do not follow all of the instructions, provide the required information,
\nsuccessfully submit their bid, timely submit their entry, and\/or abide by these Official Rules or
\nother instructions of Sponsor may be disqualified.<\/p>\n
Bonus Entries: You will receive one (1) bonus entry for each eligible person that successfully
\nenters the Sweepstakes using your unique code. To access your unique code for this
\nSweepstakes, follow the instructions on the pop-up window following confirmation of your bid.
\nYour friend must successfully enter the Sweepstakes by making a bid during the applicable time
\nperiods as set forth above, using your unique code. You must have a personal relationship with
\nany person you contact with your unique code. You may not send your unique code to any
\nthird party via text message.<\/p>\n
Limit: One (1) entry per person\/e-mail address during the entire Sweepstakes Period for bids or
\nmail-in entries, and an unlimited number of Bonus Entries.<\/p>\n
Automated entries are prohibited, and any use of automated devices will cause disqualification. Any entrant that attempts to complete or submit fraudulent entries, and his\/her entries, will be disqualified in Sponsor\u2019s sole discretion. Entrants may not enter with multiple e-mail addresses nor may entrants use any other device or artifice to enter multiple times or as multiple entrants. Any entrant who attempts to enter with multiple e-mail addresses, under multiple identities, or uses any device or artifice to register multiple times will be disqualified and forfeits any and all prizes won, in Sponsor\u2019s sole discretion. Multiple entrants are not permitted to share the same email address. Should multiple users of the same e-mail account enter the Sweepstakes and a dispute thereafter arise regarding the identity of the entrant, the authorized account holder of said\u00a0e-mail account at the time of entry will be considered the entrant. \u201cAuthorized Account Holder\u201d is defined as the natural person who is assigned an e-mail address by an Internet access provider, on-line service provider or other organization, which is responsible for assigning e-mail addresses or the domain associated with the submitted e-mail address. Potential winner may be required to show proof of being the Authorized Account Holder.<\/p>\n
5. Drawing: On or around Friday, February 16, 2018, Sponsor will randomly select three (3)
\nwinners from among all eligible entries received during the Sweepstakes Period. Odds of
\nwinning a prize depend on the number of eligible entries received.<\/p>\n
On or around Monday, February 19, 2018, potential winners will be notified via the e-mail
\naddress and\/or telephone number provided during entry into the Sweepstakes. Potential winners
\nare subject to verification. If a potential winner is found not to be eligible or not in compliance
\nwith these Official Rules, if attempted notification or any prize is returned as undeliverable, if
\nany required documents are not returned within the required number of days, if a winner cannot
\nbe verified, or if a winner is otherwise unable or unwilling to accept and claim the prize as stated,
\nthen winner may be disqualified and the prize may be forfeited in Sponsor\u2019s sole discretion. In
\nthe event that a potential winner is disqualified for any reason, Sponsor reserves the right to
\naward the prize to an alternate entrant who will also be selected randomly. Winners may be
\nrequired to complete, sign and return an Affidavit of Eligibility\/Liability Release, and, where
\nlawful, a Publicity Release, within seven (7) days of attempted notification or prize may be
\nforfeited. Sponsor is not responsible for any change of email address, mailing address and\/or
\ntelephone number of entrants.<\/p>\n
6. Prize: The prize available to be won is as follows:<\/p>\n
\u2022 Three (3) prize winners will each receive one (1) prize pack containing 5 pairs of
\nsneakers (each, a \u201cPrize\u201d). Approximate Retail Value (\u201cARV\u201d) of Prize: $1350.00.
\nAll prize details (including without limitation brand, size, style, and color) will be determined by
\nSponsor in its sole discretion. ARV is as of date of printing of these Official Rules. The
\ndifference in value of prize as stated herein and value at time of prize notification, if any, will not
\nbe awarded. Limit: one (1) prize per person\/household. Prizes are non-transferable and no cash
\nequivalent or substitution of prize is offered, except at the sole discretion of the Sponsor. If a
\nprize, or any portion thereof, cannot be awarded for any reason, Sponsor reserves the right to
\nsubstitute prize with another prize of equal or greater value. Prize winners will be solely
\nresponsible for all federal, state and\/or local taxes, and for any other fees or costs associated with
\nthe prizes they receive, regardless of whether it, in whole or in part, is used. The ARV of the
\nprize is based on available information provided to Sponsor and the value of any prize awarded
\nto a winner may be reported for tax purposes where required by law. Winners will be issued an
\nIRS 1099 form. Please allow 4-6 weeks for shipment of prize after confirmation.
\nWinner acknowledges that Promotion Parties (as defined below) have not made nor are in any
\nmanner responsible or liable for any warranty, representation, or guarantee, express or implied,
\nin fact or in law, relative to any prize, including but not limited to its quality, mechanical
\ncondition or fitness for a particular purpose. Any and all warranties and\/or guarantees on a prize
\n(if any) are subject to the respective manufacturers\u2019 terms therefore, and winners agree to look
\nsolely to such manufacturers for any such warranty and\/or guarantee.<\/p>\n
7. Release: As a condition of entering, entrants (or their parent or legal guardian if an eligible
\nminor) agree (and agree to confirm in writing): (a) to release Sponsor, each of its affiliates,
\nsubsidiaries, retailers, and agents, and each of their officers, directors, employees and agents
\n(\u201cPromotion Parties\u201d), from any and all liability, loss or damage incurred with respect to the
\nawarding, receipt, possession, and\/or use or misuse of any prize; (b) under no circumstances will
\nany entrant be permitted to obtain awards for, and entrant hereby knowingly and expressly
\nwaives all rights to claim, punitive, incidental, consequential, or any other damages, other than
\nfor actual out-of-pocket expenses and\/or any rights to have damages multiplied or otherwise
\nincreased; (c) all causes of action arising out of or connected with this Sweepstakes, or any prize
\nawarded, shall be resolved individually, without resort to any form of class action; and (d) any
\nand all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred (if
\nany), excluding attorneys\u2019 fees and court costs.<\/p>\n
8. Publicity: Except where prohibited by law, each winner grants (and agrees to confirm this
\ngrant in writing, if requested) permission for Sponsor and those acting under its authority to use
\nhis\/her name, photograph, and\/or likeness, for advertising and\/or publicity purposes in any and
\nall media now known or hereinafter invented without territorial or time limitations and without
\ncompensation.<\/p>\n
9. General Conditions: Sponsor is not responsible for lost, late, misdirected, undelivered,
\nincorrect, or inaccurate entry information whether caused by Internet users or by any of the
\nequipment or programming associated with or utilized in the Sweepstakes or by any technical or
\nhuman error which may occur in the processing of the entries. Sponsor reserves the right to
\ncancel, suspend and\/or modify the Sweepstakes, or any part of it, if any fraud, bugs, virus,
\ntechnical failures, or any other factor beyond Sponsor\u2019s reasonable control impairs the integrity
\nor proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion. In the
\nevent of cancellation, Sponsor will randomly award the prizes from among all eligible, nonsuspect
\nentries received prior to cancellation. Sponsor is not responsible for computer system,
\nphone line, hardware, software or program malfunctions, or other errors, failures or delays in
\ncomputer transmissions, the website, or network connections that are human or technical in
\nnature. Sponsor reserves the right, in its sole discretion, to disqualify any individual and his\/her
\nentries it finds to be tampering with the entry process, the website, or the operation of the
\nSweepstakes or to be acting in violation of the Official Rules of this or any other promotion or in
\nan unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine
\nthe legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and,
\nshould such an attempt be made, Sponsor reserves the right to seek damages from any such
\nperson to the fullest extent permitted by law. Sponsor\u2019s failure to enforce any term of these
\nOfficial Rules shall not constitute a waiver of that provision.<\/p>\n
10. Binding Arbitration: Any controversy or claim arising out of or relating to this Sweepstakes
\nshall be settled by binding arbitration in a location determined by the arbitrator as set forth herein
\n(provided that such location is reasonably convenient for claimant), or at such other location as
\nmay be mutually agreed upon by the parties, in accordance with the procedural rules for
\ncommercial disputes set forth in the Comprehensive Arbitration Rules and Procedures of JAMS
\n(\u201cJAMS Rules and Procedures\u201d) then prevailing, and judgment upon the award rendered by the
\narbitrator(s) may be entered in any court having jurisdiction thereof. The arbitrator shall be
\nselected pursuant to the JAMS Rules and Procedures. The arbitrator shall apply Michigan law
\nconsistent with the Federal Arbitration Act and applicable statutes of limitations, and shall honor
\nclaims of privilege recognized at law. In the event that the claimant is able to demonstrate that
\nthe costs of arbitration will be prohibitive as compared to the costs of litigation, Sponsor will pay
\nas much of the claimant\u2019s filing and hearing fees in connection with the arbitration as the
\narbitrator deems necessary to prevent the arbitration from being cost-prohibitive. If any part of
\nthis arbitration provision is deemed to be invalid, unenforceable or illegal (other than that claims
\nwill not be arbitrated on a class or representative basis), or otherwise conflicts with the rules and
\nprocedures established by JAMS, then the balance of this arbitration provision shall remain in
\neffect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal
\nor conflicting provision were not contained herein. If, however, the portion that is deemed
\ninvalid, unenforceable or illegal is that claims will not be arbitrated on a class or representative
\nbasis, then the entirety of this arbitration provision shall be null and void, and neither claimant
\nnor Sponsor shall be entitled to arbitrate their dispute. Upon filing a demand for arbitration, all
\nparties to such arbitration shall have the right of discovery, which discovery shall be completed
\nwithin sixty days after the demand for arbitration is made, unless further extended by mutual
\nagreement of the parties. THE ARBITRATION OF DISPUTES PURSUANT TO THIS
\nPARAGRAPH SHALL BE IN THE ENTRANT\u2019S INDIVIDUAL CAPACITY AND NOT AS
\nA PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR
\nREPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR
\nJOIN THE CLAIMS OF OTHER PERSONS OR PARTIES WHO MAY BE SIMILARLY
\nSITUATED. DO NOT ENTER THIS SWEEPSTAKES IF YOU DO NOT AGREE TO HAVE
\nANY CLAIM OR CONTROVERSY ARBITRATED IN ACCORDANCE WITH THESE
\nOFFICIAL RULES.<\/p>\n
BY PARTICIPATING IN THE SWEEPSTAKES, EACH ENTRANT AGREES THAT TO THE
\nEXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS
