NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. THIS CAMPAIGN IS INTENDED FOR RESIDENTS OF THE UK, GERMANY, AND FRANCE ONLY AND WILL BE GOVERNED BY THE APPLICABLE NATIONAL LAW OF THE COUNTRY WHERE THE PARTICIPANT RESIDES. DO NOT ENTER IF YOU ARE NOT ELIGIBLE AND LOCATED IN THE UK, GERMANY, OR FRANCE AT THE TIME OF ENTRY. OPEN TO LEGAL RESIDENTS OF UK, GERMANY, OR FRANCE WHO ARE 18 YEARS OF AGE OR OLDER AT THE TIME OF ENTRY, WHO ENTER FROM WITHIN UK, GERMANY, OR FRANCE.

THE CAMPAIGN IS RUN FOR THE BENEFIT OF A CHARITY. NINETY PERCENT (90%) OF THE PROCEEDS FROM EACH DONATION WILL BE TRANSFERRED TO THE CHARITY. THE REMAINING TEN PERCENT (10%) REPRESENTS A PROCESSING FEE THAT APPLIES TO EACH DONATION THAT IS RETAINED BY STOCKX.

SUPPORT COMMON GROUND

The Campaign is run and administered by StockX LLC (“Sponsor”) in support of Common Ground Foundation, Inc. (“Charity”), a charity that is headquartered in Chicago, IL, United States, with employer identification number 36-4432972 Ninety percent (90%) of the amount of each donation received in the Campaign will be transferred directly to the Charity. The remaining ten percent (10%) represents a processing fee for each donation that is retained by StockX to support StockX’s administration and processing of the donations. Further details about the Charity, the Sponsor’s relationship with the Charity and the reasons why the parties are working together are set out below.

1. Eligibility: The StockX Charity Promotion (the “Campaign”) is open to legal residents of the UK, Germany, and France, who are at least eighteen (18) years of age or older and who are located in the UK, Germany, or France, at the time of entry. Employees, contractors, directors, officers, and agents of StockX LLC (“Sponsor”), Common Ground Foundation (“CGF”), Hebru Brantley (“HB”), Union (“U”), Melody Ehsani (“ME”), Vic Mensa (“VM”), Awake (“A”), Easy Otabar (“EO”), their parents, affiliates, subsidiaries, distributors, sales representatives, and advertising, promotion and judging agencies and all other service agencies involved with the Campaign, and members of the immediate family (spouse, parent, child, sibling, and their respective spouses, regardless of where they reside) and household of each such person(s) (whether or not related) are not eligible to enter or win, regardless of where they reside.

This Campaign is subject to all applicable laws and regulations and is void where prohibited. Participation constitutes entrant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions, which are final and binding in all matters related to the Campaign. Winning a prize is contingent upon fulfilling all requirements set forth herein.

2. Sponsor: StockX LLC, 1046 Woodward Ave., Detroit, MI 48226.

3. Campaign Period: The Campaign begins on February 10, 2020, at 12:00 pm Eastern Standard Time (“EST”) and ends on February 24, 2020, at 11:59 pm EST (the “Campaign Period”). The Campaign Period consists of a “Donation Period” and a “Mail-In Period” as follows:

  • The Campaign’s “Donation Period” shall start on February 10, 2020, at 12:00 pm EST and ends on February 16, 2020, at 11:59 pm EST
  • The Campaign’s “Mail-In Period” shall start on February 10, 2020, at 12:01 am EST and ends on February 24, 2020, at 11:59 pm EST

All entries must be submitted during the Campaign Period.

4. How to Enter: There are two ways to enter the Campaign as set forth below.

  • To enter by making a donation: During the Donation Period, go to the StockX mobile app, or StockX.com, log in to your account (or create one for free) and make a $10 USD donation located at https://stockx.com/charity/ASW2020 on the product and size of your choice by following the instructions. Every $10 USD donation made during the Donation Period provides the participant with one (1) Campaign entry. To be eligible to win one of the prizes in the size of their choice (as described below) of the Campaign via this method, you must successfully make a $10 donation during the Donation Period by transferring the funds to the Sponsor by the end time/date of the Donation Period. No limits on the number of donations you can make. You may win multiple prizes. For the avoidance of doubt, donations placed after the Donation Period end time/date (even if placed and completed during the Campaign Period) will not be eligible for entry into the Campaign, unless an entrant decides to enter the campaign without making a donation in line with the mail-in entries detailed below. PLEASE NOTE THAT NINETY PER CENT (90%) OF THE PROCEEDS FROM EACH DONATION WILL BE TRANSFERRED TO THE CHARITY. THE REMAINING TEN PER CENT (10%) REPRESENTS A PROCESSING FEE THAT APPLIES TO EACH DONATION THAT IS RETAINED BY STOCKX.
  • To enter by making a mail-in entry: To enter the Campaign by mail-in hand-print your full name, date of birth, mailing address, telephone number and email address on a 3” x 5” card, and mail to: StockX, ASW Common Ground Charity Campaign, 1046 Woodward Ave., Detroit, MI 48226 or StockX, ASW Common Ground Charity Campaign, Unit 18, Victoria Industrial Estate, London W3 6UU, to receive one (1) entry into the Campaign. Requests must be postmarked and received no later than the end of the Mail-In Period. Each mail-in entry must be in a separate postmarked outer envelope. Mail-in entry prizes are awarded at the same time as donation entry prizes. No facsimiles or mechanical reproductions of entries are allowed. Sponsor is not responsible for lost, late, illegible, misdirected, mutilated, incomplete, or postage-due mail/entries. Submissions become property of Sponsor and will not be returned.

Each Campaign entry, whether by donation or mail-in, puts you into the draw to win one of the Prizes (defined below).
Limits: There is no limit to how many entries you may make, either via the donation or mail-in entry methods. Individuals who do not provide the required information, successfully enter the Campaign, timely submit their entry, and/or abide by these Promotion Official Rules or other reasonable instructions of Sponsor may be disqualified.

Automated entries are prohibited, and any use of automated devices will cause disqualification. Any entrant that attempts to complete or submit fraudulent entries, and his/her entries, will be disqualified in Sponsor’s reasonably exercised discretion. Multiple entrants are not permitted to share the same e-mail address. Should multiple users of the same e-mail account enter the Campaign and a dispute thereafter arise regarding the identity of the entrant, the authorized account holder of said e-mail account at the time of entry will be considered the entrant. “Authorized Account Holder” is defined as the natural person who is assigned an e-mail address by an Internet access provider, on-line service provider or other organization, which is responsible for assigning e-mail addresses or the domain associated with the submitted e-mail address. A potential winner may be required to show proof of being the Authorized Account Holder.

5. Drawing: On or around February 26, 2020, Sponsor will randomly select, by random number generator, nine hundred (900) winners, three hundred (300) for each product, in various sizes, from among all eligible entries received during the Campaign Period. Out of the nine hundred (900) winners, seven (7) winners will also be chosen as grand prize winners. The odds of winning a prize depend on the number of eligible entries received during the Campaign Period. The draw will be performed by a computer process using algorithms to randomly select and assign the category of prize. This will involve reliable software and hardware solutions provided by reputable providers and suppliers in order to ensure the accuracy and correctness of the drawing process. In addition, all the activities as related to the promotion lottery will be carried out and supervised by appropriately trained individuals who have experience in organizing such promotions.

On or around February 26, 2020, potential winners will be notified via the e-mail address and/or telephone number provided during entry into the Campaign. Potential winners are subject to verification. If a potential winner is found not to be eligible or not in compliance with these Official Rules, if attempted notification or any prize is returned as undeliverable, if any required documents are not returned within the required number of days, if a winner cannot be verified, or if a winner is otherwise unable or unwilling to accept and claim the prize as stated, the winner may be disqualified and the prize may be forfeited in Sponsor’s reasonable discretion. In the event that a potential winner is disqualified for any reason, Sponsor reserves the right to award the prize to an alternate entrant who will also be selected randomly. Winners may be required to complete, sign and return an Affidavit of Eligibility/Liability Release, and, where lawful, a Publicity Release, within seven (7) days of attempted notification or prize may be forfeited. Sponsor is not responsible for any change of email address, mailing address and/or telephone number of entrants.

6. Prize: Nine hundred (900) total prizes, Three hundred (300) prizes per product available to be won, in the winner’s choice of size, are as follows:

  • Union x Hebru Brantly hoodie, Approximate Retail Value (“ARV”): $100 USD
    • 300 units
  • Melody Ehsani x Vic Mensa crewneck, ARV: $50 USD
    • 300 units
  • Awake x Easy Otabar tee, ARV: $50 USD
    • 300 units

Of the nine hundred (900) total prizes won, seven (7) winners will be chosen and will each win all of the five (5) grand prizes, each in the winner’s choice of size, as follows:

  • One (1) Rimowa Classic Cabin Suitcase, ARV: $970 USD
  • One (1) Union x Hebru Brantly hoodie, ARV: $100 USD
  • One (1) Melody Ehsani x Vic Mensa crewneck, ARV: $50 USD
  • One (1) Awake x Easy Otabar tee, ARV: $50 USD
  • One (1) Air Force 1 High Just Don All Star Blue, ARV: $1,250 USD

Limit: No limit on prizes per person/household. Prizes are non-transferable and no cash equivalent or substitution of prize is offered, except at the reasonably exercised discretion of the Sponsor. In the event of unforeseen circumstances, if a prize, or any portion thereof, cannot be awarded, Sponsor shall substitute the prize with another product of equal or greater value. Prize winners will be solely responsible for all applicable taxes, and for any other fees or costs associated with the prizes they receive, regardless of whether it, in whole or in part, is used except such taxes which Sponsor is the direct subject of pursuant to applicable legislation. The ARV of the prize is based on available information provided to Sponsor and the value of any prize awarded to a winner may be reported for tax purposes where required by law.

7. Release: As a condition of entering, entrants agree (to the maximum extent permitted by applicable law): (a) to release Sponsor, CGF, HB, U, ME, VM, A, EO, and each of their affiliates, subsidiaries, retailers, and agents, and each of their officers, directors, employees and agents (“Campaign Parties”), from any and all liability, loss or damage incurred with respect to the awarding, receipt, possession, and/or use or misuse of any prizes except for warranty claims resulting from the delivery of a defective item) or for damages resulting from injury to life, body or health and other damages resulting from a grossly negligent or intentional breach of duty; (b) under no circumstances will any entrant be permitted to obtain awards for, and entrant hereby knowingly and expressly waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses and/or any rights to have damages multiplied or otherwise increased; and (c) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred (if any), excluding attorneys’ fees and court costs.

8. Publicity: Except where prohibited by law, each winner grants (and agrees to confirm this grant in writing, if requested) permission for Sponsor and those acting under its authority to use his/her name, photograph, and/or likeness, for advertising and/or publicity purposes in any and all media now known or hereinafter invented including without limitation on paper, audio, video, audio-visual, electronic, digital or online media on worldwide basis and royalty-free basis for a term of two years as of their selection as winners.

9. General Conditions: To the extent allowed under applicable law, Sponsor is not responsible for lost, late, misdirected, undelivered, incorrect, or inaccurate entry information whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Campaign or by any technical or human error which may occur in the processing of the entries. Sponsor reserves the right to cancel, suspend and/or modify the Campaign, or any part of it, if any fraud, bugs, virus, technical failures, or any other factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Campaign, as determined by Sponsor in its reasonable discretion. In the event of cancellation, Sponsor will randomly award the prizes from among all eligible, non-suspect entries received prior to cancellation. Sponsor is not responsible for computer system, phone line, hardware, software or program malfunctions, or other errors, failures or delays in computer transmissions, the website, or network connections that are human or technical in nature. Sponsor reserves the right, in its reasonably exercised discretion, to disqualify any individual and his/her entries it finds to be tampering with the entry process, the website, or the operation of the Campaign or to be acting in violation of the Official Rules of this or any other Campaign or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Campaign may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

10. Governing Law & Jurisdiction: Except where prohibited by law, this Campaign and its Promotion Official Rules are governed by English law and are subject to all applicable laws and regulations. The entire mandatory law of the country in which the participant has his habitual residence remains applicable. 11. Entrant’s Personal Information: The personal data you provide shall be processed by the Sponsor, as data controller for the purpose of managing your participation in the Campaign and, where applicable, delivering the prize, based on the contractual relationship between you and the Sponsor. Your personal data may be disclosed to third parties and subject to international transfer to territories outside the European Economic Area. You may exercise all your rights including the right to access, erasure, rectification, restriction, objection and data portability, as well as withdraw your consent at any time and free of charge. Please see the privacy policy located at https://stockx.com/privacy for details of Sponsor’s policy regarding the use by the Sponsor of your personal information collected in connection with this Campaign. If you are selected as a winner, your information may also be included in a publicly-available winner’s list.

12. Winner’s List: For a list of winners, mail a self-addressed, stamped envelope to: StockX, ASW Common Ground Charity Campaign Winners List, 1046 Woodward Ave., Detroit, MI 48226 or StockX, ASW Common Ground Charity Campaign Winners List, Unit 18, Victoria Industrial Estate, London W3 6UU. Requests must be received by March 9, 2020. For all the duration of the Sweepstakes, these Official Rules will be made available on the following website https://stockx.com/news/promotion-rules-page together with any other promotional material regarding the Sweepstakes.

13. Translations: Copies of these Promotion Official Rules in English, French, and German can be found at https://stockx.com/news/promotion-rules-page. In the event of any inconsistency between different language versions of these Promotion Official Rules, the English version shall prevail.

14. Charity information and solicitation statement:

Before you make any donation, please read and acknowledge this important legal statement:
StockX LLC is paid 10% of the value of each amount donated under and in accordance with the Campaign, with such amount being subtracted from each donation received. Other than this amount paid to StockX LLC, the remainder of all amounts donated to StockX LLC under the Campaign, being 90% of each donation, shall be paid to Common Ground Foundation, a registered tax-exempt organization under the laws of the United States, employer identification number 36-4432972.

More specific details are included below:

  • This Campaign, and the donations collected hereunder is intended to benefit Common Ground Foundation, Inc., an organization whose mission is to empower high school students from under-served communities to become future leaders.
  • A copy of the Sponsor’s documented formal agreement with the Charity can be made available to regulatory bodies in accordance with any applicable laws.
  • All donations received pursuant to the Campaign will be transferred to the Charity minus a 10% processing fee applied against each donation that is retained by StockX to support StockX’s administration and processing of the donations.
  • There is no limit on the contributions to be made by the Sponsor to the Charity and no cut-off point for contributions by participants making donations.
  • There are no specific target donations sought by the Sponsor for the Charity.
  • The Sponsor can make available information on the current and/or final total of contributions made on request.
  • Neither Sponsor nor the Charity makes any representations with regard to entrant’s ability to deduct their donation on their taxes. Entrants are encouraged to consult with a tax professional on such matters.
